RecruitGibraltar are currently helping our client who is a leading insurance company with a global footprint, who has a great opportunity for a Senior Company Administrator to join this high performance team. What is the plan for the Senior Company Administrator role?

To provide quality corporate administrative services to the portfolio of companies within the European Region of the Group in a timely and efficient manner.

What will you do as a Senior Company Administrator?

Responsible for the complete management and delivery of quality corporate administrative services to the companies within the European Region.
Act as Assistant Secretary to companies as required
Respond to requests for changes to the constitutional documents for each company, eg, increases and reductions of share capital, company name changes, amendments to the Bye Laws and/or the Memorandum of Association/Incorporating Act, etc.
Arrange for the certification of each company’s constitutional documents and minutes as required
Make application to and notify the relevant regulatory authorities in relation to changes in the constitution of each company as required
Convene Board and Shareholder meetings for each company. Ensure that related proxies are current and that there will be a quorum at such meetings
Attend Board and Shareholder meetings for companies as required, and provide advice on corporate secretarial matters, as necessary
Record Board and Shareholder meeting minutes, and draft and circulate such minutes to the appropriate parties
Ensure that annual company, business, filing and license fees payable in accordance with the relevant legislation are collected and remitted to the regulatory authorities on a timely basis
Ensure that the corporate records of each company are current, the company is in compliance and in good order and changes to the regulatory and administrative status of each company is maintained on a current basis
Participate in the opening of bank accounts for each company and the execution of related documentation required by the bank
Maintains the Register of Members, Register of Directors and Officers and Minute book for each company
Provide administrative services to the General Counsel, Europe as required
Request, collate, prepare and distribute Board, and Committee meeting materials before distribution deadlines
Organise, book and attend Management Meetings, record and circulate minutes and follow up actions points as required.
Book meetings ensuring that all tools and other meeting requirements are in place at the appointed time
Produce documents, letters, memorandums, spreadsheets, reports and presentations
Perform any other duties as assigned by the Chief Executive - Europe, Senior management or the Core team.


What do you know that makes you a great Senior Company Administrator?

3+ years experience in corporate administration experience and ideally in a senior role.
Membership in the Institute of Chartered Secretaries and Administrators (eg ACIS or FCIS); or a University degree in a relevant discipline
A working knowledge of the statutory regulations relating to the administration of companies in Gibraltar and or Malta
Proficient in the use of the Microsoft Office suite of applications, specifically MS Word
Ability to exercise discretion when dealing with confidential information
Excellent written and oral communication skills.

Salary £35k - £40k based on experience with bonus & an excellent relocation and benefits package.
