RecruitGibraltar are currently helping our client who is an International Insurance Company who has a great opportunity for a Secretary & Compliance Assistant. The company is a progressive and ambitious company who has a policy of promoting from within and has a dedication to professional training and progression.
Job Responsibilities:
Prepare draft minutes and circulate draft to attendees within deadlines set by clients
Ensuring we maintain up-to-date board & committee meeting calendars and all relevant participants are kept up to date with changes
Co-ordination of board packs for all meetings so that that they go out electronically / hard copy (where requested) at least 7 days before the meeting date
Understanding who is responsible for the agenda and submission of reports to make up the board packs and chasing them to ensure their input is received in a timely fashion – keep Client Lead informed so they can add their weight to the chase process as needed
Ensuring papers are consistent in format and branding as appropriate
Meet and greet clients as they arrive at the office
Co-ordinate travel & accommodation for client board meetings, as required
Co-ordinate preparation of boardroom for meetings
Advise Client Lead of any lack of comments so they can add their weight to ensuring attendee input as appropriate
Prepare and circulate draft action points in line with the minutes
Company Secretarial
The candidate will be required to undertake company secretarial duties, however, depending on the experience of the candidate, training and support will be provided, and some of the aspects of the role may be ones the candidate grows into.
Maintaining statutory books, including registers of members, directors and secretaries;
Contributing to management discussions as and when required, with particular emphasis on the legal, governance, and regulatory implications of any proposals;
Filing of returns and documents with Companies House within deadlines;
Monitoring, and making management aware of, changes in relevant legislation and the regulatory environment, and commenting upon how such changes might impact the business;
Liaising with advisers, such as lawyers and auditors, as required;
Overseeing and renewing insurance cover for employees private medical health insurance, equipment and premises
Opening new bank accounts and ensuring that bank mandates and records are kept up to date and client companies
Compliance Assistant
Assisting the Compliance Officer to fulfil her role for the company and client companies;
Responsibilities assigned will be dependent on the candidate and his/her experience, the needs at the time, and the candidate’s board & committee meeting workload, but may include, for example:
Completing client compliance monitoring programmes
Updating/managing client risk registers
Researching regulation or legislation for the Compliance Officer
Updating Compliance and Procedure Manuals
Ensuring that the company and client due diligence requirements are met
Qualifications
You will be a bright and motivated to want to learn and progress with experience in a comparable role.
You will have at least 3 years work experience in an office environment with strong experience in taking minutes of meetings.
You will have solid experience of taking minutes for high level meetings.
Good knowledge and experience of MS Excel.
Ideally you will have a degree
You will already live in the local area
Salary £25k - 30k depending on qualifications and experience.
